These Terms & Conditions ("Terms") govern your access to and use of the PromptGuard website (promptguard.co) and our software-as-a-service solutions (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

PromptGuard may update or modify these Terms at any time at its sole discretion. Your continued use of the Service constitutes acceptance of the updated Terms.

Access and Use of the Service

1.1 Eligibility

The Service may only be used by individuals aged 18 or older.

1.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

1.3 Right to Restrict or Suspend Use

PromptGuard reserves the right, without notice or liability, to suspend, limit, or terminate access to the Service for any reason, including:

  • Violations of these Terms
  • Security concerns or fraudulent activity
  • Misuse or excessive consumption of resources
  • Behaviour that may harm PromptGuard or interfere with the Service

PromptGuard retains full discretion in all account and access decisions.

Acceptable Use

You agree not to:

  • Use the Service for any illegal, harmful, or abusive purpose
  • Interfere with the integrity or performance of the Service
  • Attempt to extract, copy, or reverse engineer proprietary components
  • Use the Service to develop or train competing systems
  • Upload harmful content or attempt unauthorised access
  • Misrepresent your identity or misuse the Service in any deceptive manner

PromptGuard may enforce compliance by monitoring usage patterns and system behaviour.

Subscription Plans and Payment

3.1 Subscription Terms

PromptGuard may offer free, trial, or paid plans. Features, limits, and availability may change at our discretion.

3.2 Billing and Renewals

You authorise us to charge your payment method on a recurring basis unless you cancel before renewal.

3.3 Price Changes

PromptGuard reserves the right to modify pricing or plan structures at any time. Continued use following a price change constitutes acceptance.

3.4 Refunds

Refunds are issued solely at PromptGuard's discretion except where required by law.

Intellectual Property

4.1 User Content

You retain ownership of your content but grant PromptGuard a non-exclusive, worldwide licence to process such content as necessary to provide the Service.

4.2 Company IP

All rights in the Service - including software, features, infrastructure, documentation, interfaces, and trademarks - belong exclusively to PromptGuard.

You may not copy, reproduce, modify, sublicense, sell, or redistribute any part of the Service.

Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to PromptGuard's data practices as described in that Policy.

Service Availability and Changes

The Service is provided at PromptGuard's discretion. We may modify, update, discontinue, or remove features at any time with or without notice.

PromptGuard is not liable for interruptions, delays, data loss, or performance issues of any kind.

Third-Party Services

The Service may rely on or integrate with third-party providers. PromptGuard is not responsible for any third-party actions, service levels, or terms.

Disclaimers

The Service is provided "as is", "as available", and without warranties of any kind, whether express or implied.

PromptGuard expressly disclaims responsibility for:

  • Accuracy or reliability of outputs
  • Fitness for a particular purpose
  • Error-free operation
  • Data loss, corruption, or unauthorised access

You use the Service at your own risk.

Limitation of Liability

To the fullest extent permitted by law:

  • PromptGuard is not liable for indirect, incidental, special, punitive, or consequential damages
  • PromptGuard's total liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
  • For free users, PromptGuard's total liability is £0

These limits apply regardless of theory of liability.

Indemnification

You agree to indemnify, defend, and hold PromptGuard harmless from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out of your:

  • Use or misuse of the Service
  • Violation of these Terms
  • Violation of applicable laws
  • Infringement of third-party rights

Termination

PromptGuard may terminate or suspend access at its sole discretion. Upon termination, all rights granted to you under these Terms cease immediately.

Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.
